6. Client Responsibilities

Clients are responsible for providing accurate and timely information required to deliver the services. Depending on the project, clients may be required to provide:

  • Content and materials
  • Branding assets
  • Domain and hosting access
  • Software credentials
  • API credentials
  • Microsoft 365 or Google Workspace access
  • Third-party account access
  • Technical requirements
  • Approvals and feedback

Clients must ensure that they have the legal right to provide any content, data, images, software, trademarks, documents, or other materials supplied to Wildrose Innovations. Delays in receiving required information, approvals, or access may affect project timelines.

7. Payments and Fees

Service fees, payment schedules, deposits, taxes, third-party costs, and other applicable charges will be specified in the applicable quotation, proposal, invoice, or service agreement. Unless otherwise agreed in writing:

  • Work may begin after the required initial payment or deposit has been received.
  • Additional work outside the agreed scope may be charged separately.
  • Third-party services, licenses, subscriptions, hosting, domains, advertising costs, and other external charges may be billed separately.
  • Applicable taxes and government charges may be added where required by law.

Failure to make payments when due may result in suspension or termination of services.

8. Software Development and Deliverables

For software, website, mobile application, and AI projects, deliverables will be based on the agreed project scope. Project timelines may depend on:

  • Client feedback and approvals
  • Availability of required information
  • Third-party APIs and services
  • Hosting and infrastructure
  • App store or platform approvals
  • Changes in requirements
  • Technical dependencies

We will make reasonable efforts to meet agreed timelines but cannot guarantee completion dates where delays arise from circumstances outside our reasonable control.

9. Intellectual Property

Unless otherwise agreed in writing, Wildrose Innovations retains ownership of its pre-existing:

  • Source code
  • Frameworks
  • Libraries
  • Templates
  • Development tools
  • Internal systems
  • Processes
  • Methodologies
  • Reusable components
  • Know-how

Ownership or licensing of project-specific deliverables will be determined by the applicable proposal, statement of work, or service agreement. Third-party software, APIs, libraries, fonts, stock assets, plugins, platforms, and other third-party materials remain subject to their respective licenses and terms. Clients are responsible for ensuring that materials they provide do not infringe third-party intellectual property rights.

10. Website and Application Content

Where Wildrose Innovations creates content, designs, graphics, software, websites, applications, or other materials for a client, the rights granted to the client will depend on the applicable agreement and payment status. We may retain the right to use general development methodologies, technical knowledge, reusable components, and non-confidential expertise gained during a project. We will not publicly disclose confidential client information without appropriate authorization, except where required by law.

11. AI-Powered Services

Wildrose Innovations may provide AI-powered applications, automation, integrations, and other artificial intelligence solutions. AI-generated outputs may contain inaccuracies, errors, omissions, or unexpected results. Clients are responsible for reviewing and validating AI-generated information before relying on it for important business, legal, financial, medical, operational, or other consequential decisions. AI services may also depend on third-party AI platforms and APIs that have their own terms, limitations, availability requirements, and usage policies.

12. Cloud, IT, and Cybersecurity Services

Cloud, IT, and cybersecurity services are provided according to the agreed scope and service level. While we take reasonable measures to improve security and reliability, no technology system can be guaranteed to be completely secure or continuously available. Cybersecurity services are intended to reduce identified risks and improve security posture but cannot guarantee that a client will never experience:

  • Cyberattacks
  • Data breaches
  • Malware
  • Ransomware
  • Unauthorized access
  • Service interruptions
  • Data loss

Clients remain responsible for maintaining appropriate internal security practices, backups, access controls, and policies unless specifically included in our agreed scope of services.

13. Third-Party Services

Our services may integrate with or depend on third-party platforms, including but not limited to:

  • Google
  • Microsoft
  • Cloud service providers
  • Payment processors
  • Advertising platforms
  • Hosting providers
  • App stores
  • Analytics platforms
  • AI service providers
  • CRM platforms

Third-party services are governed by their own terms, policies, pricing, availability, and technical limitations. Wildrose Innovations is not responsible for changes, outages, restrictions, or failures caused by third-party providers.

14. Digital Marketing and SEO

Digital marketing, advertising, SEO, and lead generation services are intended to improve online visibility, engagement, traffic, and business opportunities. However, we do not guarantee specific:

  • Lead volumes
  • Sales
  • Revenue
  • Conversion rates

Marketing performance can be affected by competition, market conditions, advertising platforms, algorithms, customer behavior, budgets, website quality, and other factors outside our control. Advertising budgets paid to third-party platforms are separate from Wildrose Innovations service fees unless otherwise agreed.

15. Lead Generation

Lead generation services are designed to generate potential customer enquiries based on agreed targeting and campaign strategies. We do not guarantee that every lead will:

  • Be genuine
  • Make a purchase
  • Respond to communications
  • Meet a client's qualification criteria
  • Convert into a customer

Lead quality and conversion may depend on market conditions, targeting, offer, sales processes, pricing, customer response, and other factors.

16. Confidentiality

We respect the confidentiality of information shared with us in connection with business engagements. Where required, confidentiality obligations may be governed by a separate Non-Disclosure Agreement (NDA), service agreement, or contract. Information that is already publicly available, independently developed, lawfully obtained from another source, or required to be disclosed by law may not be considered confidential.
